ROTARY CLUB OF CALCUTTA

RULES & REGULATIONS UNDER THE W. B. SOCIETIES REGISTRATION ACT, 1961
PART A.
ARTICLE I
Name
In these Rules unless there is anything repugnant to the subject or context :
(a) The name of this Society shall be "Rotary Club of Calcutta" (Member of Rotary International).
(b) The Governing Body of this Society shall be the Board of Directors to be constituted as provided in the Bye-laws of the club.
(c) The Officers of this Society shall be the President, President - Elect, Vice - President, Secretary, Joint Secretary, Treasurer, Joint Treasurer and Sergeants - at - Arms. This Society shall be a non-profit organisation. Its purpose shall be charitable and benevolent and to encourage, promote and extend the Object of Rotary International, and to maintain the relations of a member club in Rotary International. Insofar as the provisions of the West Bengal Societies Regulation Act, 1961 under which this Society is registered shall permit, this Society shall be subject to the jurisdiction of Rotary International. This Society shall have the authority to adopt such bye - laws as may be consistent with the purposes enumerated herein and consistent with the laws under which this Society is formed and registered.
ARTICLE II
Territorial Limits
The Territorial Limits of this Club are as follows :
"That portion of Calcutta bounded on the West by the river Hooghly starting from its junction with Mahatma Gandhi Road and moving south along the river and then along Tolly’s Nullah to the Kidderpore Road Bridge, along Diamond Harbour Road (excluding the premises on both the sides of that road) upto the Majerhat Railway Bridge, then eastwards along the Budge-Budge branch line of Eastern Railway till it meets the Chetla Road, then moving north along the west side of Chetla Road crossing Judges Court Road along west side of Baker Road, turning west along the south side of Belvedere Road till it meets Alipore Road crossing the Zeerut Bridge upto the Traffic Circle in front of Race Course, turning east along the north side of Acharya J. C. Bose Road upto its crossing with Jawaharlal Nehru Road then moving northward alon
g the west side of Jawaharlal Nehru Road upto its crossing with Park Street and Outram Road, and then from that junction moving eastwards enclosed by a line along Acharya J. C. Bose Road upto its crossing with Bepin Behari Ganguli Street and then westwards along the south side of Bepin Behari Ganguli Street till it meets Rabindra Sarani then northwards along the west side of Rabindra Sarani till it meets Mahatma Gandhi Road and then westwards along the south side of Mahatma Gandhi Road till it meets the river Hooghly".
ARTICLE III
Object
The Object of Rotary is to encourage and foster the ideal of service as a basis of worthy enterprise and, in particular, to encourage and foster :
First : The development of acquaintance as an opportunity for service;
Second : High ethical standards in business and profession; the recognition of worthiness of all useful occupations; and the dignifying of each Rotarian’s occupation as an opportunity to serve society;
Third : The application of the ideal of service in each Rotarian’s personal, business and community life;
Fourth : The advancement of international understanding, goodwill and peace through a world fellowship of business and professional persons united in the ideal of service.
ARTICLE IV
Meetings
SECTION 1 -
(1) This club shall hold a regular meeting once each week on the day and at the time provided in its Bye-laws.
(2) In an emergency or for good cause, the Board of Directors of this club may change a regular meeting to any day during the period commencing with the day following the preceding regular meeting and ending with the day preceding the next regular meeting, or to a different hour of the regular day, or to a different place.
(3) If a regular meeting falls on a legal holiday, or in case of the death of the club President, or of an epidemic or of a disaster affecting the whole community, the board may cancel such regular meeting. The Board of Directors of this club, at its discretion, may cancel not more than two regular meetings in any one Rotary year for causes not otherwise specified herein provided always that the club should not fail to meet for more than two consecutive meetings.
SECTION 2 - An annual meeting for the election of officers of this Club shall be held not later than the thirty - first day of December in each year as provided in the Bye - laws of this Club.
SECTION 3 - The annual general meeting of the Club shall be held in the month of June in each year as provided in the bye-laws of this club.
ARTICLE V
Membership
SECTION 1 - GENERAL QUALIFICATIONS : This club shall be composed of adult persons of good character and good business or professional reputation.
SECTION 2 - KINDS : This Rotary Club shall have four kinds of membership, namely : Active, Senior Active, Past Service and Honorary .
SECTION 3 - ACTIVE : (a) This club may elect to Active membership a person who is -
(i) engaged as proprietor, partner, corporate officer or manager of any worthy and recognised business or profession; or
(ii) holding an important position in an executive capacity with discretionary authority in any worthy and recognised business or profession or
(iii) acting as the local agent or branch representative of any worthy and recognised business or profession having charge of such agency or branch in an executive capacity :
and
personally and actively engaged in the business or profession in which such person is to be classified in the club and having a place of business or residence located within the territorial limits of this club or within the corporate limits of the city in which the club is located or within the territorial limits of an immediately adjoining club, or within an immediately adjoining community not part of the territory of an existing Rotary club.
(b) There shall not be more than one Active member in each classification of business or profession excepting the religion, news media and diplomatic classifications and excepting the provision for additional active members as provided in Section 4 of this Article.
SECTION 4 - ADDITIONAL ACTIVE MEMBER :
(a) Any Active member of this club may propose for and the club may elect to active membership one additional person who is actively engaged in the same classification of business or profession as that of the proposer, whose classification shall be the same as that of the proposer. The qualifications of such Additional Active member shall be the same as set forth in Sections 1 and 3 of this Article for active membership. Such Additional Active member is in all respects an active member except that such member may not propose an additional active member under this paragraph.
(b) This club may, subject to the approval of the holder of the classification, also elect to active membership
(i) a former active member of another Rotary club or
(ii) any former member of a Rotaract club
who is actively engaged at a place of business, or who resides, within the territorial limits of the club and who is otherwise qualified for membership provided :
(1) that there shall, in no case, be more than one additional active member elected for each of the categories listed above under this sub-section in respect to any one classification;
(2) that any member as elected from category (i) shall have terminated membership in the former club only because such member ceased to be actively engaged within the territorial limit of that club in the classification of business or profession under which such member was classified in that club;
(3) that any member so elected from category (ii) shall have been a member of one or more Rotaract clubs for a period of at least four (4) years, shall have terminated membership in the former club only because such member reached the age limit for membership or has relocated outside the territorial limits of that club;
(4) that, although such additional active member is in all respects an active member, such member shall have no right to propose an additional active member under Section 4(a) hereof.
(c) In the event of the termination of active membership of the holder of the classification or in the event that such member becomes a senior active member or for any other reason ceases to be the holder of the classification, the membership of the additional active member or members elected under Section 4(a) and (b) shall be dealt with as follows :
(I) If there is only one such additional active member, that member shall automatically become an active member and the holder of the classification.
(2) If there is more than one additional active member, then the club shall elect one of the additional active members to be the active member and the holder of the classification.
(3) Upon the election to active membership of one of the additional active members as prescribed in (ii) above, the status of any other additional active member shall remain unchanged.
SECTION - 5 SENIOR ACTIVE MEMBERSHIP :
(a) Any active member of this club or past service member whose combined active and past service membership in one or more clubs conforms with the service requirements as hereinafter set forth -
(i) who has been a member of one or more clubs for a total of fifteen (15) or more years, or
(ii) who is of the age of sixty (60) or more after having been a member of one or more clubs for a total of ten (10) or more years, or
(iii) who is of the age of sixty-five (65) or more after having been a member of one or more clubs for a total of five (5) or more years, or
(iv) who is a present or a past officer or Rotary International
shall automatically and forthwith become a Senior Active Member.
(b) This club may elect to Senior Active membership any former member of any club who was a senior active member or was eligible to become a senior active member at the time such former member ceased to be a member of that club.
(c) A Senior Active member shall have all the rights, privileges and responsibilities of an active member, except that such member -
(i) shall not be considered as representing any business or professional classification;
and
(ii) shall not have the right to propose an additional active member under Section 4(a) hereof.
This club may admit to membership a qualified person in the classification of business or profession in which such senior active member may be engaged.
SECTION 6 - PAST SERVICE :
(a) A person who has retired from active business or professional life but who is otherwise qualified for Rotary membership under Article V, Section 3 of the Constitution of this club, including having held a qualifying position level, may be elected a Past Service member. A Past Service member shall be required to pay an admission fee unless such member was formerly an active member of this club.
(b) Active members who, through no fault or their own, would otherwise lose their classification one may, by action of the Board of Directors of this club, be elected to Past Service membership.
(c) A past Service member shall have all the rights, privileges and responsibilities of an active member except that such member shall not be considered as representing any business or professional classification, shall not become a senior active member (except as provided in Section 5 (a) of this Article); and shall not have the right to propose an additional active member under Section 4(a) hereof.
SECTION 7 - DUAL MEMBERSHIP :
No person shall simultaneously hold Active, Senior Active, or Past Service membership in this and another club. No person shall simultaneously hold active, senior active or past service membership and honorary membership in this club.
SECTION 8 - HONORARY MEMBERSHIP :
(1) A person, who has served with merit and distinction in the furtherance of Rotary ideals, may be elected to Honorary membership in this club.
(2) Honorary members shall be exempt from the payment of admission fees and dues, shall have no vote and shall not be eligible to hold any office in this club; shall not be considered as representing a classification, but shall be entitled to attend all meetings and enjoy all the other privileges of the club. No honorary member of this club is entitled to any rights or privileges in any other club.
SECTION 9 - RELIGION, NEWS MEDIA AND DIPLOMATIC SERVICE :
Representatives of more than one religious denomination, representatives of more than one newspaper and or other news media and diplomatic representatives of more than one government may be eligible to active membership under such classifications as set forth in this Constitution.
SECTION 10 - PUBLIC OFFICE :
(1) Persons elected or appointed to public office for a specified time only shall not be eligible to active membership in this club under the classification of such office. This shall not apply to persons holding a position of office in schools, colleges, or other institutions of learning or to persons who are elected or appointed to the judiciary.
(2) An Active member in this club who is elected or appointed to public office for a specified period may during the period in which such office is held continue as such active member in the club under the classification represented immediately prior to such election or appointment.
SECTION 11 - ROTARY INTERNATIONAL EMPLOYMENT :
This club may retain in its membership any member there of who enters the employment of Rotary International, so long as such member remains in such employment.
ARTICLE VI
Classifications
SECTION 1 - CLASSIFICATIONS :
(a) Each active member of this club shall be classified in accordance with the member’s business or profession.
(b) The classification of each Active member shall be that which covers the principal and recognized activity of the firm, company or institution with which such member is connected or that which covers such member’s principal and recognized business or professional activity .
(c) HOW CORRECTED : The Board, in its discretion, may correct or adjust the classification of any member, whose membership has not terminated; if the circumstances warrant such action. Due notice of such proposed correction or adjustment shall be given to the member and the member shall be allowed a hearing thereon.
SECTION 2 - LIMITATIONS :
The Active membership shall consist of but one person from each classification of business or profession, excepting the religion, news media and diplomatic services classifications, which may have more than one person in each such classification, and excepting the provision for Additional Active members.
ARTICLE VII
Attendance
SECTION 1 - Every member of this club should attend its regular meetings.
A member shall be counted as attending a regular meeting of this club if such member is present for at least sixty percent (60%) of the time devoted for the regular meeting or makes up for an absence in any of the following ways :
(a) If at any time within 14 days before or after the usual time for that meeting such member -
(i) attends at least sixty percent (60%) of the time devoted for the regular meeting of another club or of a provisional club; or
(ii) by direction of this club, attends a regular meeting of
a Rotaract or Interact club or Rotary Village
Corps or of a provisional Rotaract or Interact Club or Rotary Village Corps;
or
(iii) attends a Convention of Rotary International, a Council - on - Legislation, an International Assembly, a Rotary Institute for past and present officers of Rotary International, a Rotary Institute for past, present and incoming officers of Rotary International, or any other meeting convened with the approval of the Board, the President acting for the Board of Rotary International, a Rotary multi-zone conference, a Rotary Regional Conference, a Rotary International committee meeting, a rotary district conference, a Rotary district assembly, any district meeting held by direction of the Board of Directors of Rotary International, any district committee meeting held by direction of the district governor, or a regularly announced intercity meeting of Rotary clubs ; or
(iv) is present at the usual time and place of a regular meeting of another club for the purpose of attending such meeting, and that club is not meeting at the usual time and place;
(v) except that where a member is traveling outside the member’s country of residence for a period exceeding fourteen (14) days, the time restriction shall not be imposed by the sub-section inasmuch as a member may attend meetings in another country at any time during the period of travel and each such attendance shall count as a valid make-up for any regular meeting organized at this club during the member’s time abroad.
(b) If, at the time of such meeting he is : -
(i) traveling with reasonable directness to or from one of the meetings mentioned in the paragraph (A)(iii) of this section, or
(ii) on Rotary business serving as an officer or committeeman of Rotary International, or a trustee of the Rotary Foundation, or
(iii) on Rotary business serving as the special representative of his District Governor in the formation of a new club, or
(iv) on Rotary business in the employ of Rotary International, or
(v) directly and actively engaged in a district sponsored or a Rotary International or Rotary Foundation sponsored service project in a remote area where the opportunity for making up his attendance is completely impossible, or
(vi) engaged in Rotary business duly authorized by the Board of this club if this precludes attendance at a meeting of this club.
SECTION 2 - NOTICE OF MAKE - UP : In the cases set out in sub-section (a) (ii), (a)(iii) or sub-section (b) of Section 1 of this Article, the member shall only be counted as being in attendance if notice of the fact is given by any member personally to the club. In the cases set out in sub-paragraphs (a)(i) and (iv) , such notice may be given by the member personally or by the secretary of the club visited.
SECTION 3 - EXEMPTIONS : A member’s absence shall be excused if -
(a) (1) the absence is caused by protracted ill-health or impairment or by stay of more than two weeks in a country in which Rotary clubs do not exist so that such member is physically unable to attend a regular meeting and the Board approves such absence in which case it shall not be computed in the Club’s attendance record.
(2) In the case of intended absence in a country in which there are no Rotary clubs, the member shall inform the Secretary of this Club before starting the journey or, if that is impossible, in writing from that country. Before approving such absence, the Board shall satisfy itself that the journey will prevent the member from making up an absence in accordance with Section 1 (a) of this Article, or
(b) a member is a senior active member and
(i) has been a member of one or more clubs for an aggregate of twenty (20) years or more and has reached the age of 65 years, or
(ii) has been a member of one or more clubs for an aggregate of fifteen (15) years or more and has reached the age of 70 years, and
the member has notified the club Secretary in writing of the member’s desire to be excused from attendance. In this case, if approved by the Board, such member’s absences shall not be computed in the club’s attendance records, unless so desired by the member.
ARTICLE VIII
Directors and officers
SECTION 1 - The governing body of this Club shall be a Board of Directors to be constituted as the Bye-laws of the club may provide . (the Bye-laws as annexed herewith shall form part of the Rules and Regulations of this organization, as envisaged under the West Bengal Societies Registration Act).
SECTION 2 - Except as herein otherwise specifically provided, the decision of the Board in all club matters shall be final, subject only to an appeal to the club. The Board shall have general control over all officers and committees and may, for good cause, declare any office vacant. It shall constitute a board of appeal from the rulings of all officers and actions of all committees.
Appeal may be taken from any decision of the Board to the club. On such appeal the decision appealed from shall be reversed only by a two-thirds vote of the members present, at a regular meeting specified by the Board, a quorum being present, notice of such appeal having been given by the Secretary to all members of the club at least five (5) days previous to such meeting.
SECTION 3 - The officers of this Club shall be a President, a President - elect, one or more Vice - Presidents, all of whom shall be members of the Board, and a Secretary, a Treasurer, a Joint Secretary, a Joint treasurer and one or more Sergeant-at-arms, any or all of whom may or may not be members of the Board as the Bye-laws of the club shall prove.
SECTION 4 -
(1) Each officer shall be elected as provided in the Bye-laws of the Club and, except as may otherwise be provided in relation to the President, shall take office on the first day of July immediately following election to office and shall serve for the term of office or until a successor shall have been elected and qualified.
(2) The President shall be elected, as the Bye-laws of the club may provide, within the period of not more than two years but not less than eighteen months prior to the day taking office as President. The President shall be a director of the Board and shall serve as President - elect for the year immediately preceding the year in which the term as President shall commence. The President shall take office on the first day of July in the Rotary year for which the President is elected to serve and shall serve for the period of election or until a successor shall have been elected and qualified.
(3) Each officer and each director shall be an active (including additional active), Senior Active , or a past Service member in good standing of this club. For a better understanding of the duties and responsibilities of club President , the President-Elect shall attend the district President-Elect training seminar (PETS) and
the district assembly unless excused by the incoming governor. If so excused, the President-Elect shall send a designated representative from the club whose duty it will be to report back to the President-Elect.
SECTION 5 - The property of the club including all the assets will be vested in the Board of Directors.
ARTICLE IX
Admission fees & Dues
SECTION 1 - (a) Every Active, Senior Active, and Past Service member of this club shall pay as an admission fee and as annual dues such sums as may be prescribed in the Bye-laws of this club except that a Senior Active or Past Service member who has held Active membership in this Club shall not be required to pay a second admission fee.
(b) The accounts of the Club shall be audited annually as required under the West Bengal Societies Registration Act, 1961.
ARTICLE X
Duration of Membership
SECTION 1 - PERIOD : Membership shall continue during the existence of the club unless terminated as hereinafter provided.
SECTION 2 - HOW TERMINATED :
(a) Membership shall automatically terminate when a member ceases to have the necessary qualifications for membership, except that -
(i) Active members who, through no fault of their own, would otherwise lose their classifications, may, by action of the Board of Directors of this club, be elected to Past Service membership; or
(ii) by permission of the Board active members moving from the territorial limits of the Club, may be given special leave of absence for a period not exceeding one year to enable them to visit and become known to a Rotary club in the community to which they move, providing they are still active in the same classifications of business or profession and continue to comply with the attendance and all other conditions of Rotary membership ; or
(iii) by permission of the Board active members moving from the territorial limits of the club may retain membership providing they are still active in the same classifications of business or profession and continue to comply with attendance and all other conditions of Rotary Membership; or
(iv) active members who would be losing their classifications without default on their part may retain their classifications and be given special leaves of absence for periods not exceeding one year to enable them to obtain new employment or new classifications providing they continue to comply with the attendance and all other conditions of Rotary membership. The termination of their membership would take effect only at the end of the period of leave granted to them.
(b) When Past Service members re-enter active business or professional life their memberships automatically become Active memberships if the classifications are vacant. If the classifications are not vacant, they continue as Past Service members.
(c) Honorary membership shall automatically terminate on the thirtieth day of June next after the date of election. However, the Board in its discretion may, by resolution, from year to year continue such Honorary membership for the ensuing year.
SECTION 3 - HOW TO REJOIN : When the membership of an active member has terminated as provided in the foregoing Section 2, such person may make new application for membership, under the same classification or another classification. If elected to membership, a second admission fee shall not be required.
SECTION 4 - TERMINATION - NON - PAYMENT OF DUES :
(a) Any member failing to pay dues within thirty (30) days after the prescribed time shall be notified in writing by the Secretary at the member’s last known address. If the dues are not paid on or before ten (10) days from the date of notification said membership shall automatically terminate.
(b) Such former member, at the discretion of the Board, may be reinstated to membership upon the former member’s petition, and upon the payment of all indebtedness to the Club, provided that no former member can be reinstated to Active membership if the classification of the former member has been filled.
SECTION 5 - TERMINATION - NON - ATTENDANCE :
(a) Each member, other than an Honorary member of this Club, must -
(1) attend or make up at least sixty percent (60%) of the club’s regular meetings in each half of the Rotary year;
(2) attend at least thirty percent (30%) of the regular meetings of this Club in each half of the Rotary year.
If such a member fails to attend as required above that person’s membership shall automatically terminate unless the Board consents to such non-attendance for good and sufficient reason.
(b) The membership of any member, other than an Honorary member, of this club shall automatically terminate if, without the consent of the Board for good and sufficient reason, the member fails to attend or make up four consecutive club meetings.
SECTION 6 - TERMINATION FOR OTHER CAUSES :
(a) The membership of any member who shall cease to have the qualifications for membership in this Club may be terminated by the Board by the votes of not less than two-thirds of the members thereof, at a meeting called for that purpose.
(b) The membership of any member may be terminated by the Board, for a reason which the Board may deem to be sufficient, by the votes of not less than two-thirds of the members thereof, at a meeting called for that purposes.
(c) In either case (a) or (b) the member shall be given at least ten (10) days’ notice in writing of such pending action and an opportunity to submit to the Board a written answer. The member shall also have the privilege of appearing before the Board to state the member’s case. Service of such notice shall be personal delivery or by registered letter to the member’s last known address.
(d) In case of a decision to terminate membership the Secretary shall, within seven (7) days after the date of the Board’s decision, notify the member in writing of the decision of the Board. Such member may, within fourteen (14) days after the date of such notice, give written notice to the Secretary of the intention either to appeal to the club or to arbitrate as provided in Article XIV of this Constitution. In the event the member appeals, the Board shall set a date for the hearing of the appeal at a regular meeting of the club, to be held within twenty-one (21) days after the receipt of such written notice of appeal. At least five (5) days’ notice of such club meeting and its special business shall be given in writing to every member of the club and only members of the club shall be permitted to be present when such appeal is considered at such meeting.
(e) When the Board has terminated the membership of an active member as provided for in this Section, the club shall not elect a new member under his former classification until the time for hearing the appeal, if any, has expired and the club’s decision or the decision of the arbitrators has been announced.
(f) The action of the Board shall be final if no appeal to the club is taken and no arbitration is requested. If an appeal is taken the action of the club shall be final.
Note : In order to comply with the obligations of membership in a Rotary Club a Rotarian should not also belong to other community or Service clubs that would substantially reduce the member’s opportunity to comply with Rotary membership obligations. The membership of any member may be terminated by the vote of the club for a reason which the Board may deem sufficient. The Board of Directors of a Rotary Club may deem it sufficient reason to terminate the membership of a member who, in the opinion of the Board, was not fulfilling his obligations to his Rotary Club because of his continued membership in another service club.
SECTION 7 - RESIGNATION : The resignation of any member from this club shall be in writing (addressed to the President or Secretary) and shall be accepted by the Board, provided that all indebtedness of said member to the club has been paid.
SECTION 8 - PROPERTY INTEREST - FORFEITURE OF : Any person whose membership in this club has been terminated in any manner shall forfeit all interest in any funds or other property belonging to the club.
ARTICLE XI
Community, National and International Affairs
SECTION 1 - The general welfare of the community, the nation and the world is a concern to the members of this club, and the merits, of any public question involving such welfare shall be proper subjects of fair and intelligent study and discussion before a club meeting for the enlightenment of its members in forming their individual opinion. However, this club shall not express an opinion on any pending controversial public measure.
SECTION 2 - This club shall not endorse or recommend any candidate for public office and shall not discuss at any club meeting the merits or demerits of any such candidate.
SECTION 3 - (a) This club shall neither adopt nor circulate resolutions or views, nor take corporate action, dealing with world affairs or international policies of a political nature.
(b) This club shall not direct appeals to clubs, peoples or governments, or circulate letters, speeches, or proposed plans for the solution of specific international problems of a political nature.
SECTION 4 - RECOGNIZING ROTARY’S BEGINNING :
(1) This club will strive to emphasize aspects of Rotary service during a special week of celebrations commencing on the anniversary of Rotary’s establishment. The week, commencing on February 23 of each year, shall be known as World Understanding and Peace Week.
(2) While the special week will provide opportunity to reflect upon past achievements, it is appropriate to focus upon programmes of peace, understanding and goodwill within the community and throughout the world.
ARTICLE XII
Rotary Magazines
SECTION 1 - Unless this Club is excused by the Board of Directors of Rotary International from complying with the provisions of this Article in accordance with the Bye-laws of Rotary International, every active, senior action or past service member of this club, by acceptance or such membership, shall become, and so remain for the duration of such membership, a paid subscriber to the official magazine or to the approved regional magazine prescribed for this club by the Board of Directors of Rotary International. The subscription shall be handled in six (6) month periods and shall continue for the duration of membership in this club and to the end of any six (6) month period during which membership may cease.
SECTION 2 - The amount of the subscription shall be collected by the club from each member semi-annually in advance and remitted to the Secretariat of Rotary International or to the office of such regional publication as may be determined by the Board of Directors of Rotary International.
ARTICLE XIII
Acceptance of Object and Compliance with Constitution and Bye-laws
A member, by payment of an admission fee and dues, thereby accepts the principles of Rotary as expressed in its object and submits to and agrees to comply with and be bound by the constitution and Bye-laws of this club, and on these conditions alone is entitled to the privileges of the club. No member shall be absolved from the observance of the Constitution and By-laws on the plea that such member has not received a copy of them .
ARTICLE XIV
Arbitration
Should any dispute arise between any member or members, or a former member or members, and the club, or any officer or the Board of the Club, relative to membership or to any alleged breach of the Constitution or bye-laws, or the expulsion of any member from the club, or on any account whatsoever which cannot be satisfactorily settled under the procedure already provided for such purpose, the matters in difference shall be settled by arbitration. Each party shall appoint in arbitrator and the arbitrators shall appoint an umpire. Only members of a Rotary club may be appointed as umpire or as arbitrators. The decision arrived at by the arbitrators, or, in the event of their disagreement, by the umpire, shall be final and binding on all parties.
ARTICLE XV
Bye - Laws
This club shall adopt Bye-laws not inconsistent with the Constitution and Bye-laws of Rotary International(and the rules of procedure for an area administration where established) and with this Constitution, embodying additional provisions for the government of this club. Such bye-laws may be amended from time to time as therein provided.
ARTICLE XVI
Interpretation
Throughout this Constitution, pronouns of either the masculine or feminine gender shall include the other.
ARTICLE XVII
Amendments
SECTION 1 - TIME : Except as provided in Section 4 of this Article, this Constitution may be amended only by the Council-on-legislation or by the Convention of Rotary International in the same manner as is established in the Bye-laws of Rotary International for the amendment of its Bye-laws.
SECTION 2 - WHO MAY PROPOSE : Amendments to this Constitution, except as provided in Section 4 of this Article, may be proposed only by a club, by a district conference, by the general council or the conference of Rotary International in Great Britain and Ireland, by the Council -on-legislation, or by the Board of Directors of Rotary International.
SECTION 3 - PROCEDURE : (1) Any proposal to amend the Constitution shall be delivered to the General Secretary of Rotary International not later than the first day of May in the Rotary year preceding that in which the Council-on-legislation is to meet.
(2) The General Secretary of Rotary International shall mail a copy of all duly proposed amendments to all members of the Council-on-legislation and to the secretary of each club not later than one hundred twenty (120) days prior to the date the Council shall be convened.
(3) The Council shall consider and act upon each duly proposed amendment transmitted to the council and any duly preferred amendment thereof.
SECTION 4 - Article 1 (Name) and Article II (Territorial Limits) of this Constitution shall be amended at any regular meeting of this Club a quorum being present by the affirmative vote of a majority of members present and voting, provided that notice of such proposed amendment shall have been mailed to each member at least ten (10) days before such meeting, and provided further, that such amendment shall be submitted to the Board of Directors of Rotary International for its approval and shall become effective only when so approved. In the event of reconsideration of a decision not to relinquish or share territory for the organization of an additional club, as directed by the District Governor or Board of Directors of Rotary International, as provided in Section 2.020.4 of the Bye-laws of Rotary International two-third vote is required to sustain the previous negative decision.
NOTE:
(1) By accepting the certificate of membership in Rotary International this Club accepts, ratifies and agrees to be bound in all things, not contrary to law, by the Constitution and the Bye-laws of Rotary International, and amendments thereto, and to faithfully observe the provisions thereof.

(2) This Club has adopted the Standard Rotary Club Constitution as approved by Rotary International. It may be amended in the manner prescribed in the constitutional documents, and such amendments shall automatically become a part of the club constitution. This club is obliged to update this club Constitution by incorporating the amendments cleared by the RI Council -on-legislation and approved at R. I. Convention. Subject to approval by the RI Board, the club’s constitution may be modified or contain provisions expressly to comply with local laws and practice or an special circumstances, provided that such provisions or modifications do not contravene the RI Constitution and bye-laws.
PART B.
ARTICLE I
Election Of Directors And Officers
SECTION 1 - At a regular meeting one month prior to the meeting for election of officers, the presiding officer shall call for nominations by members of club for the office of President, Vice-President, Honorary Secretary, Treasurer, and five members of the Board of Directors.
The nominations duly made shall be placed on a ballot in alphabetical order under each office and shall be voted for at the annual election meeting. The candidates for President, Vice-President, Honorary Secretary and Treasurer receiving a majority of the votes shall be declared elected to their respective offices. The five candidates for Directors receiving a majority of the votes shall be declared elected as Directors. The President elected in such balloting shall serve as a member of the Board as President -elect for the year commencing on the first day of July next following the election, and shall assume office as President on the 1st day of July immediately following the year of service on the Board as President-Elect. The procedure to be followed for nomination and elect ion of directors and officers is set forth in Appendix to the Bye-Laws. See page )
SECTION 2 - The officers and directors, so elected, together with the immediate Past President shall constitute the Board of Directors. Within one week after their election the Board of Directors-elect shall meet and elect one or more members of the club to act as Sergeant(s)-at-Arms, one member as Joint Secretary and one member as Joint Treasurer. The Joint Secretary and the Joint Treasurer thus elected shall be co-opted as members of the Board.
SECTION 3 - A vacancy in the Board of Directors of any office shall be filled by action of the remaining members of the Board.
SECTION 4 - A vacancy in the position of any officer-elect or director-elect shall be filled by action of the remaining members of the Board of Directors-elect except for the President-Elect in which case fresh election shall be held provided for in Section 1 above.
SECTION 5 - The newly elected Board of Directors shall meet with the outgoing Board of Directors at a joint meeting to be called for the purpose in the last week of June, at which club and committee records shall be handed over and opportunity given for discussion on any points arising there from.
SECTION 6 - The newly-elected Board shall assume its duties from the 1st of July and shall ordinarily, be publicly installed in office at the first regular meeting of the club in the month. Under special circumstances, the installation meeting may be held on any other convenient day, closest to the scheduled day, provided due notice is given to the members and the regular weekly meeting shifted to that day.
SECTION 7 - No President, President-Elect, or Vice-President who has served for a full term shall succeed himself in the same office. No member shall ordinarily be proposed or elected to the office of President, Vice-President, Treasurer, Secretary, Joint-Secretary or Joint Treasurer, who has not been a member in good standing of the Club for at least five (5) years and who has not served on the Board for at least one year. No member shall ordinarily be proposed or elected as a Director who has not been a member in good standing of the club for at least two (2) years and served as chairman of one or more of the major committees.
ARTICLE II
Board of Directors
The Governing Body of this club shall be the Board of Directors, consisting of thirteen members of this club, namely, five directors elected in accordance with Article I, Section 1 of these Bye-laws, the President, the Vice-President, President-Elect, Honorary Secretary, Treasurer and the Immediate Past President and the Joint Secretary and the Joint Treasurer nominated by the Board-elect in accordance with Article I, Section 2 of these Bye-laws.
ARTICLE III
Duties of Officers
SECTION 1 - President : It shall be the duty of the President to preside at meetings of the club and Board and to perform such other duties as ordinarily pertain to the office of President.
SECTION 2 - President-Elect : It shall be the duty of President-Elect to serve as a member of the Board of Directors of the Club and to perform such other duties as may be prescribed by the President or the Board.
SECTION 3 - Vice -President : It shall be the duty of the Vice-President to preside at the meetings of the club and Board in the absence of the President and to perform such other duties as ordinarily pertain to the office of Vice-President.
SECTION 4 - Honorary Secretary : It shall be the duty of the Honorary Secretary to keep the records of membership, record the attendance at meetings, send out notices of meetings of the club and the Board, record and preserve the minutes of such meetings, make the required reports to Rotary International, including the semiannual reports of membership, which shall be made to the General Secretary of Rotary International on January 1st and July 1st of each year, and including prorated reports to the General Secretary on 1st October and 1st April of each active, senior active and past service member who has been elected to membership in the club since the start of the July or January semi-annual reporting period, the report of changes in membership, which shall be made to the General Secretary of Rotary International, the monthly report of attendance at the club meetings which will be made to the District Governor immediately following the last meeting of the month, collect and remit to Rotary International, subscriptions to The Rotarian and perform such other duties as usually pertain to the office of Secretary.
The Secretary shall be in overall control of the club secretarial office and the club staff and shall attend to the proper management of club properties and assets. The Secretary shall ensure compliance of the provisions under The West Bengal Societies Registration Act, 1961 and the rules framed thereunder, as also if any other statutory or legal requirements applicable to the Club.
SECTION 5 - Joint Secretary : It shall be the duty of the Joint Secretary to assist the Secretary in all matters specified in Section 4 above, and to perform such other duties as may be prescribed by the Board of Directors, and to officiate as Secretary during the latter’s absence.
SECTION 6 - Honorary Treasurer : It shall be the duty of the Treasurer to have custody of all funds, accounting for same to the club annually and at any other time upon demand by the Board and to perform such other duties as pertain to the office of treasurer. Upon retirement from office the Treasurer shall turn over to the incoming Treasurer or to the President all funds, books of accounts or any other club property in his possession.
SECTION 7 - Joint Treasurer : It shall be the duty of the Joint Treasurer to assist the Treasurer in all matters specified in Section 6 above, and to perform such other duties or may be prescribed by the Board of Directors, and to officiate as treasurer during the latter’s absence.
SECTION 8 - SERGEANT-AT-ARMS : The duties of the Sergeant-at-Arms shall be such as are usually prescribed for such office and such other duties as may be prescribed by the President or the Board.
ARTICLE IV
Meetings
SECTION 1 - ANNUAL ELECTION MEETING : An annual meeting of this club shall be held not later than 31st day of December in each year, at which time the election of the office-bearers and directors to serve for the ensuing year shall take place.
SECTION 2 - WEEKLY MEETINGS : The regular weekly meetings of this club shall be held at 1.00 p.m. on Tuesday at such place as the Board may determine. Due notice of any change in or cancellation of the regular meeting shall be give to all members of the Club.
All members excepting an Honorary member (or member excused by the Board of Directors of the club, pursuant to Article VII, Section 3 of the Club Constitution) in good standing in this club, on the day of the regular meeting, must be counted as present or absent, and attendance must be evidenced by the member’s being present for at least sixty (60) percent of the time devoted to the regular meeting, either at this club or at any other Rotary club.
SECTION 3 - ANNUAL GENERAL MEETING : The annual report of the Board of Directors and the audited accounts of the club in respect of the preceding financial year shall be placed for consideration and adoption at a regular meeting of the club held before June 30th of each year. Prior thereto copy of the annual report and the accounts along with the notice and agenda of the meeting shall be sent out to every member. At the meeting, the President shall present a comprehensive report to the club on the status of its finances and on the extent to which it has achieved its objectives for the year.
SECTION 4 - QUORUM FOR CLUB MEETINGS : One-third of the membership shall constitute a quorum at the annual and regular meetings of the club.
SECTION 5 - BOARD MEETINGS : Regular meeting of the Board of Directors shall be held in each month on a specific day set aside by the Board. Special meetings of the Board shall be called by the President , whenever deemed necessary, or upon the request of at least two (2) members of the Board of Directors, due notice having been given. The last month of the Board each year shall be a joint meeting of the incoming and outgoing Boards for the dual purpose of getting the new administration off to a good start and providing continuity of club administration.
SECTION 6 - QUORUM FOR BOARD MEETINGS : A majority of the Board members shall constitute a quorum of the Board of Directors.
SECTION 7 - CLOSED MEETING : The Board may declare, on its own or at the behest of members, in advance any regular meeting of the club to be a ‘closed meeting’ to discuss topical club affairs or some specific issues affecting the club and /or its members. Such deliberations at closed meetings are ordinarily not to be conducted in the presence of visiting Rotarians or guests unless specifically required to do so.
ARTICLE V
Fees and Dues
SECTION 1 - ADMISSION FEE : The admission fee shall be an amount to be fixed by the Board but not more than Rs. 5,000/- to be paid before the applicant can qualify as a member. The payment of admission fee may be waived by the Board of Directors at it discretion in the case of a person who, within a period of one year prior to joining this club, was a member in good standing in another Rotary Club.
NOTE : With the effect from .................. the admission fee has been set at Rs. ..........................
SECTION 2 : (a) Membership Subscription : The membership subscription shall be Rs. 500/- per annum, payable semi-annually on the 1st day of July and of January each year.
(b) Bulletin Subscription : Each member shall pay in addition a sum of Rs. 100/- per annum, payable semi-annually, as subscription to the club bulletin, ‘The Chaka’.
(c) R.I. Per Capita Dues : Each member shall pay a sum in Rupees equivalent to US$ 35.00 per annum or such amount as may be fixed from time to time by Rotary International, and payable semi-annually, as per capita dues.
(d) Magazine Subscription : Each member shall pay in addition a sum equivalent to US $ 12.00 per annum or such sum as may be fixed by the Rotary International from time to time, payable semi-annually, as subscription to "THE ROTARIAN".
Alternatively, or in addition, should the member opt for the regional Magazine "ROTARY NEWS", the member shall pay Rs. 60/- per annum, or such sum as may be fixed form time to time by the magazine publisher, payable semi-annually, towards the subscription.
(e) Rotary Foundation Contribution : Each member shall pay at his/her volition a sum equivalent to US $ 1.00 per annum or such amount as may be settled by the Board from time to time as annual contribution to Rotary Foundation and which shall be included in the January -June semi-annual bill.
(f) District Per Capita Dues : Each member shall pay a sum of Rs. 75/- per annum or such sum as may be fixed form time to time by consensus at the District Assembly payable on July 1 each year, as contribution to the District Fund (as maintained under the direction of the District Governor).
(g) Council-on-legislation : In each year in which the R.I. Council-on-legislation is scheduled to meet, each member shall pay additional dues of a sum equivalent to US $ 1.00 or such amount, as may be fixed from time to time by Rotary International.
SECTION 3 - SUNSHINE BOX : At each regular meeting of the club, members may contribute of their own volition sums of moneys to a special fund for supporting approved philanthropic and community welfare programme of the club, and the said fund shall be controlled and disposed off under the direction of the Board.
SECTION 4 - Except for the items enumerated in Section 2 above, a member shall not be obliged to pay any additional club dues except at his/her own volition unless the same duly recommended by the Board, has been approved by the members by a two thirds vote at a meeting of the club held after giving prior notice to the members.
ARTICLE VI
Method of Voting
The business of this club shall be transacted by viva voce vote except for the election of officers and directors which shall be by ballot. The President or the chairman of the meeting shall have a second or casting vote in case of equality of votes.
ARTICLE VII
Committees and Club Publication
SECTION 1 - STANDING COMMITTEE:
(a) The President shall, subject to the approval of the Board of Directors, appoint the following standing committees:
Community Service Committee
International Service Committee
Vocational Service Committee
(b) The President shall, subject to the approval of the Board, also appoint such Committees on particular phases of Community Service, International Service and Vocational Service, as deemed necessary.
(c) The President shall, subject to the approval of the Board, appoint the following committees on particular phases of Club Services :
As also appoint one-third of members each year to the following committees :
(d) The President may, subject to the approval of the Board, amalgamate two or more of the above mentioned-committees or appoint other committees including special, ad-hoc and advisory committees that may be deemed necessary for the internal administration of club affairs or for the implementation of a special project of the Programme of Objectives for the year.
(e) Should it be deemed necessary, the President with the approval of the Board may appoint one or more committees to deal with various aspects of community programmes or for youth activities, which depending on the respective objectives and the field of work may be under one or more avenues of service - Vocational, Community or International.
SECTION 2 - (a) The above standing committees shall each consist of a Chairman, and a Co-chairman if deemed necessary, who shall be named by the President from the membership of the club, and not less than Ten (10) other members. The Committee may elect a person from among its members to act as Convenor.
The chairman of each committee nominated shall be responsible for convening and conducting its meeting and for planning and implementing its programmes and activities .
(b) Where feasible and practicable in the appointment of club committees there should be provision for continuity of membership, either by appointing one or more members for a second term or by appointing one or more members to a two-year term.
No members shall be eligible to serve on the same committee for more than two successive years except as otherwise provided in these Bye-Laws.
(c) The Classification and Rotary information committees shall each consist of at least nine members, one-third members of each committee to be appointed each year for a term of three (3) years.
(d) The Bulletin, Library and magazine committees shall, wherever feasible, include the editor of the club bulletin and a local newspaper or advertising member of the club.
(e) The president shall, subject to the approval of the board, appoint for each of the committees from the membership of the board, a Liaison Director who shall oversee and coordinate the work of the committee and also maintain liaison between the committee and the board.
[For the Classification, Membership Development and Rotary Information committees, the liaison director nominated shall ordinarily be the President-Elect, Vice-President or Immediate Past President.]
(f) The President and the Secretary shall be ex-officio members of all committees and as such shall have all the privileges of membership therein.
(g) Each committee shall transact such business as is delegated to it in these by -laws and such additional business as may be referred to it by the President or the Board. Except where special authority is given by the Board, such committee shall not take action until a report has been made to the Board and approved by the Board.
(h) Every committee , except ad-hoc committees, shall ordinarily meet once a month on the allotted day to review and to plan its programme of work. In the month of June, the outgoing committee shall hold a joint meeting with the members of the incoming committee for discussing the continuity of programmes and for handing over committee records to the new chairman.
SECTION 3 - BUDGET : Each committee using funds shall prepare a budget for the year based on its programme of work and submit the same to the Board for approval, and no expenditure or liability shall be incurred except such has been approved by the Board. Each committee shall in due course furnish to the Treasurer full accounts with a statement of income and expenditure for the year. At the close of the year all unspent funds are to be returned to the Treasurer.
SECTION 4 - CLUB PUBLICATIONS : The club shall publish a weekly bulletin under the name "The Chaka", which will be the official publication of the club. The bulletin shall be registered with the Registrar of Publications, and shall be printed and published under the authority of club Secretary.
The editorial and advertising policy for the club bulletin shall be in consonance with the objects of Rotary and its ideal of service and conforming with the guidelines laid down by the Board of Directors from time to time . This policy shall be enforced by the Bulletin , Library & Magazine Committee. The contents of the weekly bulletin shall include the minutes of the regular meeting of the club, official club notices and announcements, committee engagements, reporting on the activities of the club, its members and its committees and on the programmes presented at the club meetings.
Furthermore, the bulletin shall seek to promote fellowship, contribute to Rotary education of all members, and disseminate Rotary information, as also develop and sustain the established programme of objectives of Rotary in general, and those of the club in particular, as laid down from time to time .
The president shall with the approval of the Board , appoint one or more members to act as editors of the bulletin or make such arrangement as may be deemed necessary for the publication of the bulletin. The editor shall ensure regular and timely publication of the bulletin.
SECTION 5 - CLUB CORRESPONDENT : The President shall, subject to the approval of the board, appoint a member of the club to act as the club correspondent, who shall collect, collate, and furnish news-items and photographs to approved Rotary magazines and other publications, as also to the district officials and Rotary clubs, in regard to club activities, programmes and achievement . The Club correspondent shall also attend to fraternal correspondence with other Rotary clubs and otherwise work in conjunction with the Secretary and shall maintain a chronicle of activities and accomplishments of the club, as also an album of photographs, etc., for the Rotary year. The Club correspondent shall be co-opted as a member of the bulletin, Library & Magazine Committee. Unless some other member is so nominated , the Joint Secretary shall act as the Club Correspondent.
SECTION 6 - CLUB ASSEMBLY : The Club officers, directors and committee chairmen shall meet periodically for the purpose of conferring on the programmes and activities of the club. Preferably four such club assemblies be held during the year, of which one shall be scheduled in conjunction with the Director Governor’s official visit to the club . Another club assembly shall be held after the district conference in order to receive reports on the programmes and activities of the district and of other clubs in the district .The last club assembly to be held in June shall be a joint club assembly, where the club officers and committee chairmen of both the outgoing and incoming Rotary years shall meet to take stock and discuss club affairs and programme of objectives. All members shall be urged to attend club assemblies.
SECTION 7 - CLUB LIBRARY & ARCHIVES : The club shall maintain a library of books and other publications (as also of audio-visual tapes, films, etc.) dealing mainly with Rotary - the movement, its history, activities and programmes. Other books and publications of interest to the members may also be kept in the said library. It shall also be the repository of the club’s history, its past records and memorabilia. The club library and
the archives are presently housed in Paul Harris Room. The overall superintendance of the Paul Harris Room shall be with the Bulletin, Library & Magazine Committee with the Joint Secretary or some other member as its in-charge.
SECTION 8 - PROGRAMME OF OBJECTIVES : The President-Elect shall draw up a programme of objective for his/her year of office and the same be presented by the President-Elect at the joint club assembly.
ARTICLE VIII
Duties of Committees
SECTION 1 - COMMUNITY SERVICE COMMITTEE : This committee shall devise and carry into effect plans which will guide and assist the members of this club in discharging their responsibilities in their community relationship. The chairman of this committee shall be responsible for the community service activities of the club and shall liaise with and co-ordinate the work of any other committees that may be appointed on particular phases of Community Service, such as human development, community development, environment protection and partners-in -service.
SECTION 2 - INTERNATIONAL SERVICE COMMITTEE : This committee shall devise and carry into effect plans which will guide and assist the members of this club in discharging their responsibilities in matters relating to International Service. The chairman of this committee shall be responsible for the International Service activities of the club and shall liaise with and co-ordinate the work of any committee that may be appointed on a particular phase of International Service.
SECTION 3 - VOCATIONAL SERVICE COMMITTEE: This committee shall devise and carry into effect plans which will guide and assist the members of this club in discharging their responsibilities in their vocational relationship and in improving the general standards of practice in their respective vocations. The chairman of this committee shall be responsible for the vocational service activities of the club and shall liaise with and co-ordinate the work of any other committees that may be appointed on particular phases of Vocational Service.
SECTION 4 - CLUB SERVICE COMMITTEES:
(a) Attendance committee : This committee shall devise means for encouraging attendance of all Rotary meetings - including attendance at district conference, intercity meeting, regional conference, and International conventions by all club members. This committee shall especially encourage attendance at regular meeting of this club and attendance at regular meeting of other clubs when unable to attend meetings of this club; keep all members informed on attendance requirements; promote better incentives for good attendance; and seek to ascertain and remove the conditions that contribute to unsatisfactory attendance.
(b) Bulletin, Library and Magazine Committee, This committee shall be responsible for the publication and distribution of the club bulletin "The Chaka" regularly every week and for making all necessary arrangements in connection therewith. This committee shall endeavor, through the publishing of the bulletin, to stimulate interest and improve attendance, announce the programme of the forthcoming meeting, relate highlights of the previous meeting, promote fellowship, contribute to the Rotary education of all members and reports news of the club, of its members and of the worldwide Rotary programme.
This committee shall also stimulate reader interest in "The Rotarian", "Rotary News" and other Rotary literature; sponsor a magazine month; arrange for brief review of the magazines on regular club programmes; provide copies of the magazine for non-Rotarian speakers; secure special subscriptions for libraries, hospitals, schools and other reading rooms; and in other words make the magazine of service to the club members and non-Rotarians. This committee shall also be responsible for looking after the club library and archive with a view to stimulate and maintain interest of members.
(c) Classification Committee : This committee shall as early as possible, but not later than 31 August of each year, make a classification survey of the community ; shall compile from the survey a roster of filled and unfilled classifications; shall review, where necessary, existing classifications represented in the club; and shall counsel with the Board on all classification matters.
(d) Fund-Raising Committee : This committee shall devise ways and means to raise funds required for running the existing service projects, as also to run new projects to be undertaken by the club, and otherwise to undertake such fund raising programs as may be approved/assigned by the President or the Board.
(e) Fellowship Activities Committee : This committee shall promote acquaintance and friendship among the members, promote participation by members in organized Rotary recreational and social activities, and do such work in pursuance of the general object of the club as may be assigned by the President or the Board.
(f) Membership Committee : This committee shall consider all proposals for membership from the personal side and shall thoroughly investigate the character, business, social and community standing, and general eligibility of all persons proposed for membership and shall report their decision on all applications to the Board.
(g) Membership Development Committee : This committee shall review continually the club roster of filled and unfilled classifications and shall take positive action to initiate and present to the Board the names of suitable persons to fill unfilled classifications.
(h) Programme Committee : This committee shall prepare and arrange the programs for the regular and special meetings of the club, so designed and balanced to carry into effect the objectives of the year.
(I) Inter-club and public relations Committee : This committee shall devise and carry into effect plans: (1) to give the public general information about Rotary, its history, object and scope ; (2) to secure proper publicity for the club and its activities ; and (3) to maintain cordial relationship (with other Rotary clubs) by fostering a sprit of goodwill and understanding.
(j) Rotary Information Committee : This committee shall devise and carry into effect plans (1) to give prospective members information about the privileges and responsibilities of membership in a Rotary club ; (2) to give the members, especially the new members, adequate understanding of the privileges and responsibilities of members; (3) to give the members information about Rotary, its history, objects, scopes and activities; and (4) to give the members information as to developments in the administrative operation of Rotary International.
ARTICLE IX
Leave of Absence
Upon written application to the Board, setting forth good and sufficient cause, leave of absence may be granted excusing a member from attending the meetings of the club for a specified length of time .
Note : Such leave of absence does operate to prevent a forfeiture of membership; it does not operate to give the club credit for the member’s attendance. Unless the member attends a regular meeting of some other club, the excused member must be recorded as absent except that absence authorised under the provisional of Article VII, Section 3 of the club Constitution shall not be computed in the attendance record of the club.
ARTICLE X
Finances
SECTION 1 - The treasurer shall deposit all funds of the club in a bank to be named by the Board, and/or invest a part thereof in any approved securities in consultation with the Board.
SECTION 2 - All bills shall be paid only by cheques signed by the Treasurer, or in his absence by the President or Secretary, against vouchers signed by any two officers. Payment for expenses incurred by any committee should be made only after it has been duly authenticated by the committee chairman.
SECTION 3 - Officer having charge or control of funds shall give bond as may be required by the board for the safe custody of the funds of the club, cost of bond to be borne by club.
SECTION 4 - The fiscal year of this club shall extend from 1st April to 31st March. However , for the collection of members’ dues, shall be divided into two semi-annual periods extending from July 1st to December 31st , and from January 1st to June 30th. The payment of per capita dues and magazine subscriptions to Rotary International shall be made on July 1st and January 1st of each year on the basis of the membership of the club on those dates.
Note : Magazine subscription for members joining during a semi -annual period are payable upon invoice from the R.I. Secretariat.
SECTION 5 - At the beginning of July each year the Board of Directors shall prepare or cause to be prepared a budget of estimated income and estimated expenditure upto the end of June of the following year, which, having been agreed to by the Board, shall stand as the limit of the expenditure for the respective purposes unless otherwise ordered by action of the board. The budgeted anticipated total expenses shall not exceed total anticipated revenues.
SECTION 6 - Audit : The Board shall provide for and cause to be made an audit of the Books of Accounts of the club annually, or at more frequent intervals by Chartered Accountants or Auditors of recognised standing. The Hon. Secretary and Treasurer shall submit the books and vouchers for audit whenever required by the board.
ARTICLE XI
SECTION 1 - Active Members
(1) The name of a prospective member, proposed by an active, member of the club or by the membership development committee, shall be submitted to the Board in writing, through the club Secretary who shall ensure that the application is attached in order. The proposal for the time being shall be kept confidential except as otherwise provided in this procedure.
(2) The Board shall request the Classification committee to consider and report to the Board on the eligibility of the proposed member from the stand point of classification, shall request the Membership committee to investigate and report to the Board on the eligibility of the proposed member from the standpoint of character, business and social standing, and general eligibility.
(3) The Board shall consider and approve or disapprove the recommendations of the classification and membership committees and shall then notify the proposer, through the club Secretary, of its decision.
(4) If the decision of the board is favorable, the proposer, together with one or more members of the Rotary Information Committee, shall arrange a pre induction talk to inform the prospective member of the purposes of Rotary and of the privileges and responsibilities of membership in the club, following which the prospective member shall be requested to complete and submit an application for membership and to give the permission for his name and proposed classification to be published to the club.
(5) If no written objection to the proposal, stating reasons, is received by the board from any member of the club within ten (10) days following publication of the information about the prospective member, the prospective member, upon payment of the admission fee, as prescribed in these Bye-Laws, shall be considered to be elected to membership.
If any objection has been filed with the Board, it shall, consider same at any regular or special meeting of the Board and shall ballot on the proposed member. If not to exceed one negative votes are cast by the members of the board in attendance at the regular or special meeting, the proposed member, upon payment of the prescribed admission fee, shall be considered to be elected to membership.
Following the member’s election to membership as herein provided, the club Secretary shall issue a membership card to the member and shall report his name to the General Secretary of Rotary International.
(6) The new member shall be formally inducted at a regular meeting of the club by the President as a new member of the club .
SECTION 2 - Senior Active, Past Service and Honorary Members : The name of a proposed candidate for any one of these three kinds of membership shall be submitted to the Board of Directors in writing and the election shall be in the same form and manner as prescribed for the election of an active member provided, however, that such proposal may be considered at any regular or special meeting of the Board and that the board may at its discretion waive any of the steps as set forth in Section 1 of this Article and proceed to ballot on the proposed member. If not to exceed one negative votes are cast by the members of the Board in attendance at the regular or special meeting, the proposed member shall be considered duly elected, provided, however, that any active member or past service member of this club who qualifies for senior active membership as set in the constitution of this club shall automatically become a senior active member of this club, no application for or election to senior active membership being required.
ARTICLE XII
Resolutions and Subscriptions
SECTION 1 - No resolution or motion to commit this club on any matter shall be considered by the club until it has been considered by the Board. Such resolutions by the club until it has been considered by the Board. Such resolutions and motions, if offered at a club meeting, shall be referred to the Board without discussion. At least 10 days notice, shall be given to every club member for considering at any regular or special meeting any resolution or motion to commit this club.
SECTION 2 - Any appeal to the club or the members as Rotarians for charitable or other subscriptions shall be handled in accordance with the procedure prescribed in Section 1 of this Article.
ARTICLE XIII
Order of Business
The order of business for the club’s regular weekly meetings shall be as under :

ARTICLE XIV
Club Trusts
SECTION 1 - The club may set up one or more Foundations or Trusts in accordance with the provisions of law applicable to such trusts. These Trusts shall be non-profit-making, charitable, benevolent and/or devoted to the welfare of the community and in consonance with the object of the Rotary.
SECTION 2 - Every foundation or Trust of the Rotary Club of Calcutta shall be operated exclusively for charitable, and/or educational purposes by the Trustees of the said Foundation or Trust in accordance with the terms of the Trust Deed. The trust terms may be amended by the trustees only with the concunrence of the Board.
SECTION 3 - Such Foundation or trusts may accept gifts, donations or bequests of money or property or income therefrom from the club, its members, the government and/or other well-wishers, and all such receipts shall become the property of the Trust in question.
SECTION 4 - All Trustees shall be members of the club in good standing, shall be appointed with the concurrence of the club president, and shall satisfy the qualifications and conditions listed in the trust deed. The ruling President, Secretary and Treasure of the club shall be ex-officio trustees and shall hold the of the President, Secretary and Treasurer of all club rusts or their year of office in the club. All shall serve without compensation.
SECTION 5 - Expenditures of Trusts : The trustees shall make expenditures from the property of the Trust only with the approval of the club Board, except for the necessary expenses of administration of Trust and for the expenditures of the income or principle of gifts to the Trust which are prescribed by the terms of the gifts or bequest.
SECTION 6 - The trustees shall report no less than once
annually to the club on the programme and finances of the Trusts. The audited
accounts of the trusts shall be annexed to the clubs annual accounts for
presentation to the club members.
ARTICLE XV
Amendments
These bye-laws may be amended at any regular meeting, a
quorum being present, by a two thirds vote of all members presents, provided
that notice of such proposed amendment shall have been mailed to each member at
least ten(10) days before such meeting. No amendment or addition to these
bye-laws can be made which is not in harmony with the club Constitution and with
the Constitution and Bye-laws of Rotary International.
APPENDIX
(Bye-laws Article I Section I )
Nomination of Officers and Directors
1. The presiding officer shall announce The meetings is now open for nominations foe the offices, of club Officers and Director.
2. Any member who desires to make nominations for the office of President for the Rotary year will now do so, provided that the member has previously secured the permission of the nominee.
3. the presiding officer shall enquire whether there are any further nominations; on there being no reply shall declare the nomination for the office of President closed.
4. The same procedure shall be followed for nominations for the office of Vice-President, Honorary Secretary, Treasurer and Directors, each office being dealt with separately.
Note : Any member may nominate any other for any or all of vacant offices but no member may be nominated for any office by more than one member.
Election of Officers and Directors
1. Under the heading of club business, the presiding officer shall announce ‘The meetings will now proceed to the election of officers and directors for the ensuring year’.
2. The presiding officer will appoint two members to act as scrutinisers from amongst the members whose names do not appear on the list of nominations.
3. The Secretary shall provide each member present with the ballot containing the names of all nominees for the offices of President, Vice-President, Secretary, Treasurer and Director. In each case, the names shall appear in alphabetical order.
4. The ballot for the offices of President, Vice-President, Secretary, Treasurer and the Directors shall be taken. The scrutinisers shall report to the presiding officer, who will announce the results at the meeting.
